Article 1 - Name

The name of the organization shall be Windsor and District Perioperative Registered Nurses Association and herein shall be referred to as WDPONA


Article 2 -
Objectives

  1. To promote standard for quality patient care during the perioperative phase

  2. To encourage and promote continuing education

  3. To promote communication, collaboration and exchange of ideas among its members

  4. To promote leadership and representation for perioperative nursing at a regional level in conjunction with outside agencies

  5. To provide representation for Ontario Perioperative Nurses at the provincial level


Article 3 - Membership

Herein there will be two levels of membership for WDPONA

1. Active Member

  • An active member shall consist of registered nurses currently employed in the perioperative scope of practice according to ORNAC standards. This includes administrative, educational, research and clinical practice

2. Associate Member

  • Associate members shall consist of registered nurses currently employed in an allied field of perioperative nursing or is a retired Perioperative Nurse not currently employed in the perioperative setting

  • Associate members will be eligible to attend meetings and serve as a volunteer for committees, meetings and conferences

  • Associate members shall not be voting members of ORNAO nor will they serve as a regional board member or hold a local executive position

  • Associate members will not be eligible for any educational sponsorship

All memberships shall be valid from July 1 st of one year to June 31 st the following year.

This must be maintained in one regional association

Article 4 - Executive Composition

The executive positions of WDPONA and their terms are as follows:

President - 2 year term

President Elect - 2 year term

Past President - 1 year term

Secretary - 2 year term

Treasurer - 2 year term

Of this executive, two representatives must be sent to the ORNAO board meetings.

Members of the executive must be RNAO members in order to vote (WDPONA will refund the President and President elect's RNAO fees in order they meet the above criteria).

Article 5 -
Election of Executive

President

  • The office of President shall be assumed in the even years following a two year president elect term

  • Upon expiry of the President's term she / he shall assume the position of past President for the term of I year

President Elect

  • The office of President elect shall be elected in the even years, upon expiry of the President's term she / he shall assume the position of President

  • In the event the President elect resigns during their term of office, the President shall call an emergency election to fill the position

  • In the event that the Presidency becomes vacant, the President elect will assume the office for the unexpired term as well as the start of her / his elected term

Past President

  • The past President acts as a consultant for the current executive for a 1 year term.

Secretary *

  • The office of secretary shall be a 2 year term elected in odd years and shall not hold this office for more than two consecutive terms

Treasurer *

  • The office of Treasurer shall be a 2 year term she / he is responsible for the treasury

* In the event the positions of Secretary and / or Treasurer comes vacant, the Executive shall appoint a member to fill in for the remainder of the unexpired term

Quorum Guidelines

  • Board members shall consist of 50% or more of the voting board members
  • Executive meetings shall consist of at least three members of the executive to create a quorum

Article 6 -
Duties of the Executive

President

  • Calls and presides at all meetings
  • Is a signing office of WDPONA
  • Represents WDPONA at ORNAO board meetings
  • Prepares and circulates the agenda for the meetings with the assistance of the secretary
  • Prepares the annual report for the June election and membership meeting
  • Arranges for any executive member to preside at the meeting in their absence
  • Chair conferences held during her / his term
  • Unable to vote unless there is a tie

President Elect

  • Performs all duties of the President in their absence
  • Represents WDPONA at ORNAO board meetings
  • Performs other duties delegated by the President
  • Acts as a contact person listed on the website for ORNAO regional information
  • Keeps an updated file one current sales representatives and executive
  • Helps with exhibitors at conferences and meetings

Past President

  • Acts as a consultant to the current executive.
  • Conducts the Nominations and Elections of Officers.
  • Shall be responsible for maintaining a current manual of the Bylaws and Constitutions

Secretary

  • The secretary shall record minutes of all executive meetings and distributes them to other executive members and sends copies to each hospital.
  • She / he will send out copies of the minutes one week prior to the scheduled meeting for members to review.
  • She / he will ensure that copies of the minutes are placed on each table so that members may accept them at that meeting
  • She / he shall comply and maintain statistical records of active members indicating their status e.g.:RNAO member, CPN(C)
  • She / he will help the President in preparation of the meeting agenda
  • She / he is a signing office for WDPONA
  • She / he will send annual dues and other fees to ORNAO
  • She / he will provide a financial statement which shows the previous years expenses at the June meeting
  • She / he prepares a financial statement for each regular WDPONA meeting

Treasurer

  • She / he is responsible for the treasury
  • She / he is a signing office for the WDPONA
  • She / he will send annual dues and other fees to ORNAO, e.g. Journal
  • She / he will provide a financial statement at the June meeting showing previous years expenditures
  • She / he will arrange for audit of books at the conclusion of their term of office
  • She / he will prepare a financial statement for each regular meeting of WDPONA

Article 7 - Finances

Membership Fees

Membership dues will be re evaluated yearly and are dependent upon fees charged by ORNAC, cost of insurances, OR journal costs and upcoming expenses for the year

Membership fees for 2008 are as follows

Active member ---------------- $50

Associate member ------------$30

Late fees * -------------$10 (July 1 st - September 1 st )

  *All Registration must be finalized by September 1 st
